Terms of Service for Tap-Digital Business Card

1. Definitions

"Tap," "we," "us," "our" means Tap - Digital Business Card LLC, a New York limited liability company.

"Services" means the Tap mobile application, the Tap Teams web platform, NFC-enabled products sold by Tap, the gettap.co website, and all related features.

"Account" means the user account created to access the Services.

"Captured Data" means contact information collected via lead capture features.

"Enrichment" means the optional, manual process through which a Tap user requests that a captured contact record be supplemented with information from a third-party enrichment sub-processor. Enrichment is a credit-based feature available on specific subscription plans. See the Privacy Policy for the current list of enrichment sub-processors.

"Meeting Recording Feature" means the in-person meeting recording capability of the Tap mobile application, including audio capture, transmission to Tap's transcription and LLM sub-processors, generation of AI transcripts, topics, summaries, titles, and action items, and storage of the resulting outputs.

"Matchmaking Feature" means the in-app matchmaking capability of the Tap mobile application that surfaces suggested connections between Tap users based on profile data.


2. Acceptance and Eligibility

By creating an Account or using the Services, you accept these Terms. You must be at least 16 years old or the age of majority in your jurisdiction. If you accept these Terms on behalf of a company, you represent that you have authority to bind that company.


3. The Services

Tap provides digital business card profiles, NFC-enabled physical products, a lead capture and enrichment platform, CRM integrations, real-time analytics, Tap Teams organizational features, an AI Card Scanner, offline sharing, and the new Meeting Recording and Matchmaking Features described in these Terms.


4. Subscription Plans, Credits, and Billing

4.1 Plans

Access to certain features of the Platform requires a paid subscription. Features, pricing and billing frequency are described on the Tap pricing page.


4.2 Auto-Renewal and Cancellation

Subscriptions automatically renew at the end of each billing period unless cancelled before renewal. You may cancel through your Account settings or by contacting info@gettap.co.


4.3 Enrichment Credits

Certain features, including Enrichment, are offered on a credit basis. Credits may be included with certain subscription plans and/or purchased separately from Tap. One or more credits are consumed each time you request enrichment for a specific captured contact. Unless expressly stated otherwise, credits are non-refundable, non-transferable between accounts, and may expire according to the terms disclosed at the time of purchase. Tap reserves the right to adjust the number of credits required for enrichment as our provider costs change, with reasonable notice.


5. NFC Product Purchases

Tap sells physical NFC-enabled products through the Platform. Products are subject to our Refund Policy and are warranted against material defects for 90 days after delivery. Custom-branded products are made to order and are not eligible for return except for manufacturing defects.


6. Tap Teams

6.1 Team Accounts and Administrator Responsibilities

Tap Teams enables organizations to manage Tap for multiple team members. Administrators manage team membership, permissions, billing, and organizational settings, and acknowledge responsibility for team members' compliance with these Terms.


6.2 Team Data Ownership

Captured Data and analytics generated within a Tap Teams account belong to the subscribing organization.


6.3 Ownership of Meeting Recording Outputs in Teams.

Meeting Recording outputs (transcript, topics, AI-generated summary, AI-generated title, action items and metadata) created by a member of a Tap Teams organization are considered the property of that organization. If a member leaves the organization or loses access to Tap Teams, these outputs remain with the organization and continue to be accessible to organization administrators. Audio is not visible or downloadable from within the app in any case.


7. Lead Capture and Enrichment

7.1 Lead Capture

Tap enables you to capture contact information from individuals you meet. You are the data controller of Captured Data you collect through the Services. You are responsible for complying with applicable law, including any requirements to provide notice or obtain consent, when you collect, store, enrich, or use Captured Data.


7.2 Enrichment — Your Responsibilities

You may manually trigger Enrichment for a specific captured contact, subject to your plan and available credits. By triggering Enrichment you authorize Tap to send the relevant identifiers (such as email address, name, or company domain) to third-party enrichment sub-processors and to append the returned information to the captured contact record. The current list of enrichment sub-processors is published in our Privacy Policy and at gettap.co/pages/subprocessors.

You represent and warrant that your use of Enrichment, and your subsequent use of Enrichment Data (including for outreach, marketing, or CRM storage), will comply with all applicable laws, including data protection, anti-spam, and privacy laws (such as GDPR, CCPA, CAN-SPAM, and similar laws). Tap does not guarantee the accuracy, completeness, or currency of Enrichment Data and is not responsible for any reliance you place on it.


8. CRM Integrations and Third-Party Services

You may connect your Account to third-party services (HubSpot, Salesforce, Pipedrive, Zoho, Zapier, and others). Use of third-party services is governed by their terms. When you enable a CRM integration, you authorize Tap to transmit Captured Data, Enrichment Data (where applicable), and the AI-generated summary, topics, and action items from associated meeting recordings (but not the audio or the full transcript) to the connected service in accordance with your configuration.


9. AI Features

9.1 AI Card Scanner

The AI Card Scanner uses artificial intelligence to extract contact information from photographs of physical business cards. AI-generated output may contain errors; you are responsible for verifying accuracy.


9.2 AI in Meeting Recording

AI-generated transcripts, topics, summaries, meeting titles and action items produced by the Meeting Recording Feature may contain errors, omissions, or inaccuracies. You are responsible for verifying the content before relying on it, including before forwarding or syncing AI-generated outputs to a CRM. Tap does not guarantee the accuracy of AI output.

Tap's agreements with its transcription and LLM sub-processors prohibit those sub-processors from using your meeting content to train their general-purpose AI or machine-learning models.


10. In-Person Meeting Recording

The Meeting Recording Feature is available through the Tap mobile application. This Section 10 applies whenever you use the Meeting Recording Feature.


10.1 Consent of Other Participants

Recording in-person conversations is regulated differently in different jurisdictions. You are solely responsible for complying with the laws of the jurisdiction(s) in which you record a meeting, including any requirement to obtain the consent of some or all other participants. Before starting a recording, you must affirm, via the in-app confirmation, that the other participant(s) have been informed that the meeting will be recorded and have given you permission to record it. Your affirmation constitutes your representation and warranty to Tap that such informed consent was validly obtained.

Tap does not independently verify participant consent. You agree to indemnify and hold Tap harmless from any claim, loss or liability arising from a recording you initiated without valid consent of the other participant(s), to the fullest extent permitted by applicable law.


10.2 Prohibited Uses of the Meeting Recording Feature

You agree not to use the Meeting Recording Feature to:

  • Record any conversation in a jurisdiction or setting where such recording is prohibited by law.
  • Record any conversation without the valid consent of the other participant(s).
  • Record conversations that are protected by attorney-client privilege, clinician-patient privilege, or similar privileges, unless expressly authorized by all relevant parties.
  • Record any conversation for the purpose of stalking, harassment, discrimination, or any other unlawful purpose.
  • Use the outputs of a recording in a manner that violates applicable data protection, privacy, wiretap, eavesdropping, or confidentiality laws.


10.3 Audio Handling, Deletion, and Ownership

  • Audio is uploaded to Tap's servers and processed by Tap's third-party transcription and LLM sub-processors (identified in our Privacy Policy).
  • Audio is automatically deleted from Tap's servers approximately thirty (30) days after the recording is created, and cannot be downloaded or shared from within the mobile app.
  • Transcript, topics, AI-generated summary, AI-generated title, action items and metadata are retained in accordance with the ownership rules below, or until early deletion is requested.
  • Teams ownership rule: where the recording was created by a member of a Tap Teams organization, the resulting outputs belong to the organization. If the member later leaves or loses access, the outputs remain accessible to the organization's administrators.
  • Individual account rule: where the recording was created by an individual user who is not part of a Tap Teams organization, the outputs are associated with that user's account and are deleted if the user deletes their account, subject to legal hold.
  • CRM sync: where you have connected a CRM and opted into syncing, the AI-generated summary, topics, and action items may be synced along with the associated lead record. The audio and the full transcript are NOT synced.
  • No training: our transcription and LLM sub-processors are contractually prohibited from using your meeting content to train their general-purpose AI models.


11. Matchmaking and Connections

The Matchmaking Feature is available through the Tap mobile application. This Section 11 applies whenever you use the Matchmaking Feature.


11.1 Discoverability and Matching

  • Tap suggests potential connections based on profile fields such as role, industry, and interests. Tap may, in the future, incorporate additional non-sensitive signals (such as attendance at the same event).
  • At launch, all users are discoverable. Tap may, in the future, offer a setting to adjust discoverability.
  • Being surfaced as a potential match does not expose your personal contact details. Only the limited profile information that you choose to make visible on your Tap profile is shown to other users.


11.2 Connection Requests

  • A connection between two users is only established after the recipient explicitly approves a connection request. No personal contact details or digital card data are shared until approval.
  • On approval, the requesting user shares a digital business card of their choice with the connected user. If the requesting user has only one digital card, that card is shared.


11.3 Acceptable Use of the Matchmaking Feature

You agree to use the Matchmaking Feature only for lawful, professional purposes. You agree not to use it to send unsolicited commercial communications, to harass, intimidate, or discriminate against other users, to impersonate another person, or to harvest user data for any purpose other than legitimate professional networking.


12. Acceptable Use

You agree not to use the Services in violation of law, to transmit malware, to reverse-engineer the Services, to send spam, to impersonate others, to collect personal data in violation of applicable law, or to harass, threaten, or discriminate against any person. We may suspend or terminate your Account for violations.


13. Intellectual Property and Data Ownership

Tap owns the Platform, Services and related technology. You own Your Content and User Data and grant Tap a limited license to host and transmit it in order to provide the Services. Captured Data belongs to the party that collected it. Tap may create and use aggregated, de-identified data derived from the Services.

Meeting Recording outputs (transcript, topics, summary, title, action items, metadata) follow the ownership rules in Section 10.3: Tap Teams organizations own outputs created by their members, and individual users own outputs they create outside a Teams context. In either case, Tap is licensed to process and store such outputs to provide the Services, subject to the rights of other meeting participants under applicable law.


14. Privacy and Data Processing

Our Privacy Policy at gettap.co/policies/privacy-policy describes how we collect, use, and disclose your personal information, and lists our current sub-processors. Tap Teams and enterprise customers may request a Data Processing Agreement by contacting info@gettap.co.


15. Disclaimer of Warranties; Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TAP'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO TAP DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU HAVE NOT MADE ANY PAYMENTS, TAP'S TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED US DOLLARS (US $100). The limitations do not apply to fraud, intentional misconduct, or liability that cannot be limited under applicable law.


16. Indemnification

You agree to indemnify, defend and hold harmless Tap, its officers, directors, employees, affiliates and agents from and against any claim, damage, loss, liability, cost or expense (including reasonable attorneys' fees) arising out of: (a) your breach of these Terms; (b) your use of the Services; (c) your collection, enrichment, or use of Captured Data in violation of applicable law; (d) any recording you make using the Meeting Recording Feature without valid consent of the other participant(s); (e) your use of the Matchmaking Feature; (f) your Content; or (g) your violation of any applicable law or third-party right.


17. Termination

You may cancel your subscription at any time. Tap may terminate or suspend your Account for breach of these Terms, non-payment, extended inactivity, suspected fraud, or legal requirement. On termination, you will have 30 days to export your data before deletion, subject to the ownership rules in Sections 6 and 10 for Teams data and Meeting Recording outputs.


18. Dispute Resolution

These Terms are governed by the laws of the State of New York, United States. Disputes will first be attempted to be resolved informally by contacting info@gettap.co. Unresolved disputes will be resolved by binding arbitration in New York, NY, administered by the American Arbitration Association. You and Tap agree to proceed on an individual basis only and waive any right to proceed as a class or representative action.


19. General Provisions

These Terms, together with the Privacy Policy and any policies referenced in them, constitute the entire agreement. Severability, waiver, assignment, notices, force majeure, independent contractor, and third-party beneficiary provisions apply as standard.
